AGREEMENT TO TERMS
These Terms of Use (the "Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and DigiSphere Networks LLC ("we," "us," or "our"), which owns and operates Acuntoz, a tender and contract management platform (the "Service"), available at https://www.acuntoz.com
You agree that by accessing the Service, you have read, understood, and agree to be bound by all of these Terms.
IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICE AND YOU MUST DISCONTINUE USE IMMEDIATELY.
Supplemental terms, policies, or documents that may be posted on our website from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason.
INTELLECTUAL PROPERTY RIGHTS
Unless otherwise indicated, the Service, including its source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content"), and the trademarks, service marks, and logos contained therein (the "Marks"), are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service for your internal business purposes.
USER REPRESENTATIONS AND PROHIBITED ACTIVITIES
By using the Service, you represent and warrant that:

you will maintain the accuracy of such information; and
your use of the Service does not violate any applicable law or regulation.

Make any unauthorized use of the Service, including collecting usernames and/or email addresses of users by electronic or other means.
Circumvent, disable, or otherwise interfere with security-related features of the Service.
Engage in unauthorized framing of or linking to the Service.
Trick, defraud, or mislead us and other users.
Interfere with, disrupt, or create an undue burden on the Service or the networks or services connected to the Service.
Use any information obtained from the Service to harass, abuse, or harm another person.

Decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Service.
Upload or transmit (or attempt to upload or transmit) viruses, Trojan horses, or other material that interferes with any party’s uninterrupted use and enjoyment of the Service.
FEES AND PAYMENT
You agree to pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. We may suspend or terminate your account if your payment is late or if your payment method cannot be processed. By providing a payment method, you expressly authorize us to charge the applicable fees on said payment method. All fees are non-refundable unless otherwise stated.
TERM AND TERMINATION
These Terms shall remain in full force and effect while you use the Service. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICE TO ANY PERSON FOR ANY REASON OR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OR OF ANY APPLICABLE LAW OR REGULATION.
MODIFICATIONS AND INTERRUPTIONS
We reserve the right to change, modify, or remove the contents of the Service at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Service without notice at any time. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service. We cannot guarantee the Service will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Service, resulting in interruptions, delays, or errors.
DISCLAIMER AND LIMITATION OF LIABILITY
THE SERVICE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICE WILL BE AT YOUR SOLE RISK, TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE, OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
MISCELLANEOUS
These Terms and any policies or operating rules posted by us on the Service constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. If any provision or part of a provision of these Terms is unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.
